The Irish competition authority, CCPC, has approved Circle K's acquisition of Pelco-operated service stations, contingent on specific commitments to maintain competition.

The Competition and Consumer Protection Commission (CCPC) has given the green light to Circle K's proposed acquisition of eight Texaco-branded service stations operated by Pelco in Dublin and Meath. This approval comes with legally-binding commitments aimed at addressing potential competition concerns.

Circle K, the largest service station operator in Ireland with over 400 locations, initially sought to acquire nine Pelco stations. However, the CCPC's investigation revealed that the merger could significantly increase Circle K's market share in certain areas, particularly in north Dublin, where it already holds a dominant position in the retail sale of motor fuels.

To mitigate these concerns, Circle K has agreed to forgo the acquisition of the Pelco station in Coolock and to divest its own station at 9 Beaumont Road, Dublin 9, to another operator under a long-term lease. This move is intended to ensure that competition remains robust in the affected areas.

The CCPC has concluded that, with these commitments in place, the transaction will not substantially lessen competition in the market. An independent monitoring trustee will be appointed to oversee compliance with these commitments, ensuring that Circle K adheres to the agreed terms.

The CCPC plans to publish the full decision on its website within 60 working days, following the necessary redaction of confidential information. The merger review process is crucial for maintaining competitive markets and protecting consumer interests.
