The Czech competition authority, known as ÚOHS, has granted approval for the merger between AP sigma s.r.o. and CIPHER SOLUTIONS, a.s. The newly formed entity, Georgiana, will operate as a controlled competitor, fulfilling all functions of an independent economic unit.

The merger was permitted under a simplified procedure, as the authority determined that it would not significantly disrupt competition in the market. The decision is final and binding.

The joint venture will focus on the reconstruction, management, and utilization of the Jiřský klášter at Prague Castle, aiming to operate a center for art and education. This includes a gallery showcasing the Svatovítský treasure and other art collections, as well as an interactive center on the history of the Catholic Church in the Czech lands.

AP sigma primarily engages in the rental and leasing of movable property, real estate management, and accommodation services. Its sole shareholder is the Archdiocese of Prague, which operates through controlled companies in real estate leasing.

CIPHER SOLUTIONS is currently inactive and is wholly owned by KKCG Real Estate Group a.s., part of the multinational KKCG financial and investment group, which oversees real estate activities.
