The concentration was notified on 19 March 2026, and the application of the simplified procedure was requested. Sofindev is an investment company specializing in private equity investments (buy - outs and growth capital) in the capital of small and medium - sized enterprises in the Benelux. Sofindev has built up experience across several sectors, including digitally dri ven business services, service and trading companies that form a link in the logistics and supply chain of various sectors, and niche companies in the manufacturing industry. Vanertec is a holding company whose subsidiaries include Elindus and Smart@Energy. Elindus is a Belgian energy supplier that provides gas and electricity to companies throughout Belgium, and mainly in Flanders. Smart@Energy provides energy forecasting and trading services. In its decision of 25 March 2026, the BCA found that the conditions for the application of the simplified procedure are met and that the notified concentration did not raise any objections. Op 19 maart 2026 ontving de auditeur - generaal van de Belgische Mededingingsautoriteit (hierna: "BMA") een aanmelding van een concentratie in de zin van artikel IV.10, §1 van het Wetboek van E conomisch R echt (hierna: "WER"). 2. De voorgenomen transactie betreft de verwerving van gezamenlijke zeggenschap in de zin van artikel IV.6, §1, 2° WER over Vanertec BV (hierna: “Vanertec”), en indirect over Elindus NV (hierna: “Elindus”) en Smart@Energy BV (hierna: “Smart@Energy”) door, enerzijds Sofindev VI CommV (hierna: “Sofindev”), en anderzijds dhr. Steven Vandenhende, dhr. Matthias Detremmerie en d hr. Lode Hullebusch (hierna: “de Huidige Aandeelhouders ” ). 3. De aanmeldende partij en hebben toepassing gevraagd van de vereenvoudigde procedure zoals bepaald in artikel IV.70, §1 WER. 4. Sofindev , met zetel te Lambroekstraat 5D, 1831 Machelen en met ondernemingsnummer 0795.416.628 , is een investeringsmaatschappij gespecialiseerd in private equity investeringen (buy - outs en groeikapitaal) in het kapitaal van kleine en middelgrote ondernemingen in de Benelux. Sofindev heeft ervaring opgebouwd binnen verschillende sectoren zoals digitaal gedreven zakelijke dienstverlening, diensten - en handelsbedrijven die een schakel vormen in de logistiek en toeleveringsketen van diverse sectoren (voeding, farma, bouw enz.) en nichebedrijven in de maakindustrie. 5. De Huidige Aandeelhouders zijn de volgende natuurlijke personen: dhr. Steven Vandenhende, dhr. Matthias Detremmerie en dhr. Lode Hullebusch. 6. Vanertec , met zetel te Meersstraat 13, bus 2.1, 8790 Waregem en met ondernemings nummer 0831.118.071 , is een holdingmaatschappij die 50% van de aandelen in haar dochtervennootschappen Elindus en Smart@Energy aan houdt . 7. Elindus is een energieleverancier die voornamelijk gas en elektriciteit levert aan commerciële en industriële afnemers in heel België, maar voornamelijk in Vlaanderen. 8. Smart@Energy levert diensten van energie forecasting en trading. Ze ontwikkelt sinds medio 2018 technische processen zoals voorspellingen rond elektriciteitsvraag en - productie, en de inkoop van energie. 2 9. Uit het onderzoek blijkt dat de voorgenomen concentratie valt binnen het toepassingsgebied van het Boek IV van het Wetboek van Economisch Recht en categorie II. 1.c) ii ) zoals opgenomen in de nadere regels voor een vereenvoudigde aanmelding van concentraties zoals goedgekeurd door de Algemene Vergadering van de Raad voor de Mededinging op 8 juni 2007 . 1 10. Zoals bepaald in artikel IV.70, §3 WER, stelt de auditeur vast dat aan de voorwaarden voor toepassing van de vereenvoudigde procedure is voldaan en dat de aangemelde concentratie geen aanleiding geeft tot verzet. 11. Overeenkomstig artikel IV.70, §4 WER dient deze brief te worden beschouwd als een toelatingsbeslissing van het Mededingingscollege in de zin van artikel IV.66 §2, 2 ° WER .
