CNMC Fines Rheinmetall AG €13 Million for Misleading Information in Merger with Expal Systems S.A.

Rheinmetall AG, a military armament company, has been fined €13 million by the CNMC for providing misleading information during its merger with Expal Systems S.A.


Rheinmetall AG was fined 13 million euros by CNMC for two serious violations of the Competition Defense Law. The company failed to disclose information about the companies' activities in nitrocellulose and wet paste markets when notifying the acquisition of Expal Systems. Additionally, Rheinmetall provided incomplete and misleading information during the preliminary phase of the investigation.

Rheinmetall, the parent company of the Rheinmetall Group, which operates in various sectors, notified the acquisition of Expal Systems in February 2023. The CNMC approved the operation in the first phase but later discovered discrepancies in the information provided by Rheinmetall, leading to an investigation.

The CNMC conducted a confidential investigation to determine if Rheinmetall omitted information regarding the impact of the merger on specific markets and if the information provided was deceptive. Following the investigation, CNMC found Rheinmetall guilty of two serious violations of the Competition Defense Law.
