The Greek competition authority is preparing to review the acquisition of Delta Schools by Alphabet Education, scheduled for June 6, 2025. This review is mandated under Article 8 of Law 3959/2011, which governs mergers and acquisitions in Greece.
Alphabet operates primarily in the education sector through its subsidiaries, including Akmi and Metropolitan College, both of which provide professional training and lifelong learning services. Delta Schools also offers similar services, operating under the name Delta 360 and a lifelong learning center.
The authority's preliminary assessment suggests that the merger could significantly restrict competition in the markets for professional training services in various regions, including Attica, Thessaloniki, and Volos. The merger may create a dominant position for the new entity, potentially leading to higher prices and reduced service quality.
Key concerns include the high combined market share of the merging parties, the significant gap between their market share and that of the next competitor, and the established reputation and advertising expenditures of both companies, which create high barriers to entry for new competitors.
As a result, the authority is recommending that the merger be prohibited, citing the potential for substantial anti-competitive effects. Additionally, it suggests that Alphabet may face penalties for failing to notify the authority of the merger in a timely manner, as required by law.
The authority's recommendation is not binding, and the final decision will consider evidence and input from all parties involved.
