Irish Authority Approves Phoenix's Acquisition of Cellnex with Conditions

The Competition and Consumer Protection Commission (CCPC) has conditionally approved Phoenix Tower International's acquisition of Cellnex, requiring binding commitments to address competition concerns.


The Competition and Consumer Protection Commission (CCPC) of Ireland has cleared the acquisition of Cellnex Ireland Limited and Cignal Infrastructure Limited by Phoenix Tower International Holdco, LLC, but only under legally binding commitments. This decision follows a thorough investigation initiated after the acquisition was first notified in March 2024.

During its investigation, the CCPC raised concerns about potential competition issues in the market for hosting services on macro passive network infrastructure. This infrastructure is essential for mobile network operators, as it supports the installation of active network equipment like antennae and dishes. The CCPC feared that the merger could lead to increased market concentration, resulting in higher prices and reduced service quality for consumers.

To mitigate these concerns, Phoenix has agreed to several commitments, including the divestment of certain sites to maintain competition levels. Specifically, they will divest sites in areas where the merger would reduce the number of competitors from three to two or from two to one. Additionally, they will divest new sites developed under existing agreements with mobile network operators, allowing for new competitors to enter or expand in the market.

After reviewing these commitments, the CCPC concluded that the acquisition would not significantly lessen competition and can proceed. The full determination will be published on the CCPC's website within 60 working days, following a review period for the parties involved to request the removal of confidential information.

To ensure compliance with the commitments made by Phoenix, an independent monitoring trustee will be appointed, equipped with the necessary rights and powers to oversee adherence to these commitments.
