Merger Withdrawn in Transport Concrete Market Due to Competition Concerns

Südbayerisches Portland Zementwerk - Rohrdorfer has withdrawn its merger application with Asamer following competition concerns in the transport concrete market.

Südbayerisches Portland-Zementwerk Gebr. Wiesböck & Co. GmbH (Rohrdorfer) planned to acquire 49% of Asamer Kies- und Betonwerke GmbH's shares and joint control. The Austrian Federal Competition Authority (BWB) raised horizontal competition concerns in the market for transport concrete in Upper Austria, fearing higher prices or worse conditions for buyers.

The BWB requested an in-depth examination by the Cartel Court due to these concerns, leading to the withdrawal of the merger application by Rohrdorfer in July 2024. The prohibition on implementation remains in place unless a new application is submitted and approved.

Despite efforts to address the competition issues during Phase II proceedings, the concerns could not be resolved, prompting the withdrawal of the merger application. The BWB also retracted its request for review of the merger, a procedural step in light of the withdrawal.
