The Federal Trade Commission (FTC) has approved revised jurisdictional thresholds for Section 8 of the Clayton Act, which addresses interlocking directorates. These updates will take effect in 2026.

For the year 2026, the thresholds that trigger prohibitions on certain interlocking memberships on corporate boards are set at $54,402,000 for Section 8(a)(1) and $5,440,200 for Section 8(a)(2)(A).

These thresholds will become effective once they are published in the Federal Register. The FTC's website will provide a complete listing of current thresholds, which will be updated as the effective date approaches.

The vote to approve the Federal Register notice for these threshold revisions was unanimous, with a 2-0 decision.
