The Croatian competition authority (AZTN) has granted approval for the merger between Žito d.d., a company based in Osijek engaged in agriculture and food production, and Mesna industrija Ravlić d.o.o., also located in Osijek. This merger involves Žito acquiring a 51% stake in Ravlić, thereby gaining direct control over the company.
On September 26, 2025, AZTN published a public call for comments regarding the merger, which remained open until October 6, 2025. No objections or comments were received during this period.
Žito operates in the agricultural and food sector across four main activities: crop production, livestock farming, food production, and trade services. Mesna industrija Ravlić specializes in meat production and processing, wholesale and retail of meat products, and agricultural production.
The companies are active in various markets, including the production of crops, meat, and meat products, as well as wholesale and retail trade. Despite their presence in these markets, they hold low market shares, with major competitors being larger food groups.
After the merger, the combined market share of Žito and Mesna industrija Ravlić in the meat processing market is expected to be up to 10%, while in other relevant markets, their shares will be up to 5%. Given the competitive landscape, the merger is not anticipated to significantly alter market dynamics or competition.
The merger is expected to yield positive effects, such as preserving domestic production and potentially increasing it for consumer benefit. Additionally, it may lead to synergies, improving procurement conditions and overall business efficiency.
AZTN concluded that the merger does not violate competition laws and will not create or strengthen a dominant market position, thus allowing the merger under Croatian competition law.
