Approval of Joint Control Acquisition in Greek Media Sector

17.03.2025 | Greek competition authority

The Greek competition authority has unanimously approved the acquisition of joint control over Audiomax Holdings by United Media and Paxana Holdings, ensuring no significant competition concerns.

On March 17, 2025, the Greek competition authority held a session where it unanimously approved the acquisition of joint control by United Media S.à.r.l. and Paxana Holdings Limited over Audiomax Holdings S.A. and its subsidiaries. This decision was made in accordance with Article 8, paragraph 3 of Law 3959/2011.

Audiomax Holdings is a holding company that controls three radio stations, a podcast production and broadcasting company, and two technical service companies that exclusively provide services to their parent companies. Previously, Paxana had joint control over Audiomax with Primos Media S.à.r.l. Through this acquisition, United Media replaces Primos in terms of equity participation and the rights and obligations arising from the existing shareholders' agreement between Paxana and Primos.

The competition authority concluded that there are no affected markets as a result of this acquisition. Therefore, despite falling under the scope of Article 6, paragraph 1 of Law 3959/2011 and Article 3 of Law 3592/2007, the acquisition does not raise serious doubts regarding its compatibility with competition requirements in the relevant markets.
