Croatian Competition Authority Approves KONČAR and HELB Merger
The Croatian Competition Authority has cleared the acquisition of HELB by KONČAR, allowing the latter to enhance its capabilities in the energy sector.

The Croatian Competition Authority (CCA) has approved the concentration between KONČAR d.d. and HELB d.o.o., allowing KONČAR to gain sole control over HELB. This transaction is significant as it involves the energy sector, where KONČAR is a vertically integrated company engaged in various high-tech equipment manufacturing and services related to electricity transmission and distribution.
KONČAR Group's core business includes electricity generation, urban mobility, and digital solutions, while HELB primarily focuses on electrical installation services within Croatia. The acquisition is expected to strengthen KONČAR's position in the market by enhancing its capabilities and competitiveness, particularly in executing larger-scale projects in foreign markets.
The CCA defined the relevant markets for this transaction, which include electrical installation services in Croatia and various design, construction, and maintenance services for transformer stations and renewable energy plants in the European Economic Area (EEA). HELB holds a market share of approximately 10-20% in the Croatian market, while KONČAR's shares in the EEA markets do not exceed 5%.
Given the competitive landscape, with several stronger competitors in the Croatian market and global competition in other relevant markets, the CCA concluded that the merger would not significantly impede effective competition or create a dominant position, thus complying with Article 16 of the Croatian Competition Act.
