According to the notifying parties, Proximus has sole control over Doktr prior to the tran saction. The concentration was notified to the BCA on 24 September 2025 and the application of the simplified procedure was requested. Proximus is the historical telecommunications operator in Belgium. The company operates in the electronic communications services sector and offers both wholesale and retail services, including fixed and mobile telecommunications, voice and data services, as well as IT services. These activities are mainly carried out at national level within Belgium, but also internationally, both directly and through subsidiaries. AG Insurance is a multi - channel insurance company operating in Belgium. The company is active in both life and non - life insurance (car, fire, accidents, hospitalization, civil liability and others), as well as supplementary pensions. AG Insurance focuses o n individuals, the self - employed, SMEs and large companies. Nationaal Hulpfonds is a non - profit association, guided by a Christian - humanist vision of humanity and society. The mission of Nationaal Hulpfonds is to promote and support initiatives undertaken by institutions of a medical - social nature that aim to prote ct and improve public health. Nationaal Hulpfonds is also involved in the acquisition, establishing, management and equipping of such institutions. Doktr is a video consultation service that allows patients and employees in Belgium to consult a registered doctor, a registered psychologist, a reintegration coach, an occupational physician or another qualified specialist via a video application. The application offers personalized and secure video calls and can be used for medical advice, prescriptions or doctor's certificates. The video consultation service is a fully - fledged service chann el in addition to the physical contacts that exist today, with a focus on ease of use for both doctor and patient. In its decision of 30 September 2025, the BCA found that the conditions for the application of the simplified procedure are met and that the notified concentration did not raise any objections. Op 24 september 2025 ontving de auditeur - generaal van de Belgische Mededingingsautoriteit (hierna : “BMA”) een aanmelding van een concentratie in de zin van artikel IV.10, §1 van het Wetboek van economisch recht (hierna : “WER”). 2. De voorgenomen concentratie betreft het verkrijgen van gezamenlijke zeggenschap in de zin van artikel IV.6 §1,2° WER door Proximus NV (hierna : “Proximus), AG Insurance NV (hierna: “AG Insurance”) en Nationaal Hulpfonds VZW – Fonds National d’Entraide ASBL (hierna: “NHF”) over Doktr BV (hierna: “Doktr”) . Volgens de aanmeldende partijen beschikt Proximus pre - transactie over de uitsluitende zeggenschap over Doktr. 3. De aanmeldende partij en hebben de toepassing gevraagd van de vereenvoudigde procedure zoals bepaald in artikel IV.70, §1 WER. 4. Proximus , met zetel te Koning Albert II - laan 27, 1030 Brussel, België, en ingeschreven in de Kruispuntbank van Ondernemingen onder het nummer 0202.239.951, is actief in de sector van elektronische communicatiediensten en biedt zowel groothandels - als kleinhandelsdiensten aan, waaronder vaste en mobiele telecommunicatie, spraak - en datadiensten, evenals IT - diensten. Deze activiteiten vinden voornamelijk plaats op nationaal niveau binnen België, maar ook internationaal, zowel rechtstreeks als via dochteronder nemingen. 5. AG Insurance, met zetel te Emile Jacqmainlaan 53, 1000 Brussel, België, en ingeschreven in de Kruispuntbank van Ondernemingen onder het nummer 0404.494.849 , is actief in zowel levensverzekeringen als niet - levensverzekeringen (auto, brand, ongevallen, hospitalisatie, burgerlijke aansprakelijkheid en andere), en in aanvullende pensioenen. AG Insurance richt zich op particulieren, zelfstandigen, kmo’s en grote on dernemingen. De producten van AG Insurance worden verdeeld via verschillende kanalen. 6. NHF , met zetel te Haacht sesteenweg 579 , 1030 Schaarbeek, België, en ingeschreven in de Kruispuntbank van Ondernemingen onder het nummer 0403.284.230, is actief in het promoten en ondersteunen van initiatieven die ondernomen worden door instellingen van medico - sociale aard die 2 tot doel hebben om publieke gezondheid te beschermen en te verbeteren. NHF doet ook aan verwerving, oprichting, beheer en de uitrusting van dergelijke instellingen. 7. Doktr , met zetel te Koning Albert II - laan 27, 1030 Schaarbeek, België, en ingeschreven in de Kruispuntbank van Ondernemingen onder het nummer 0787.949.212 , is een videoraadplegingsdienst waarmee patiënten en werknemers in België via een video - app contact kunnen opnemen met een erkende arts, een gediplomeerd psycholoog, een re - integratiecoach, een arts arbeidsgeneeskunde of een andere gekwalificeerde specialist. De app biedt gepersonaliseerde en beveiligde video - consultaties aan, en kan worden gebruikt voor medisch advies, voorschriften of doktersattesten. 8. Uit het onderzoek blijkt dat de voorgenomen concentratie valt binnen het toepassingsgebied van het Boek IV WER en categorie ën II.1.a en II.1.c)ii) zoals opgenomen in de nadere regels voor een vereenvoudigde aanmelding van concentraties zoals goedgekeurd door de Algemene Vergadering van de Raad voor de Mededinging op 8 juni 2007. 1 9. Zoals bepaald in artikel IV. 70, §3 WER , stelt de auditeur vast dat aan de voorwaarden voor toepassing van de vereenvoudigde procedure is voldaan en dat de aangemelde concentratie geen aanleiding geeft tot verzet. 10. Overeenkomstig artikel IV.70, §4 WER , dient deze brief te worden beschouwd als een toelatingsbeslissing van het Mededingingscollege in de zin van artikel IV.66 §2, 2° WER.
