The Competition Bureau of Canada has formally requested the Competition Tribunal to block Nortera Foods Inc.'s proposed acquisition of B&G Foods Canada's Green Giant and Le Sieur businesses. This acquisition is concerning as it involves a dominant player in the canned and frozen vegetable market, which could lead to increased prices and reduced choices for consumers.

Nortera, which already sells canned and frozen vegetables under brands like Del Monte and Arctic Gardens, aims to acquire B&G's Green Giant and Le Sieur brands. The Bureau argues that this merger would significantly reduce competition in a market that is already highly concentrated, potentially harming Canadian consumers.

The Bureau's investigation revealed that the merger would eliminate a key competitor, Nortera, and B&G, who currently compete on price and product availability. This loss of competition could weaken retailers' negotiating power, leading to higher grocery prices and fewer promotions.

Furthermore, the Bureau highlighted that barriers to entry in this market are high, making it unlikely that new competitors could emerge to counteract the effects of the merger. The Bureau is seeking an order from the Tribunal to preserve competition in the supply of canned and frozen vegetables in Canada.

The Tribunal will first decide on the Bureau's request to temporarily prevent the transaction from proceeding while the case is reviewed. The final decision will rest with the Tribunal, which operates independently from the Bureau.
