The Federal Trade Commission (FTC) has approved revised jurisdictional thresholds for Section 8 of the Clayton Act, which addresses interlocking directorates. These updates will take effect in 2026.
For the year 2026, the thresholds that trigger prohibitions on certain interlocking memberships on corporate boards are set at $54,402,000 for Section 8(a)(1) and $5,440,200 for Section 8(a)(2)(A). These figures indicate the financial limits at which the FTC will intervene regarding interlocking directorates.
Once published in the Federal Register, these thresholds will become effective. The FTC's website will provide a complete listing of current thresholds, which will be updated as the effective date approaches.
The decision to revise the thresholds was made with a unanimous vote of 2-0.
