The Belgian Competition Authority (BCA) has granted approval for Delhaize's acquisition of Delfood, which includes the Louis Delhaize retail chain, but with specific conditions aimed at preserving competition in local markets.
Delhaize, a prominent player in the Belgian retail sector, operates 745 stores under various brands, while Delfood manages the Louis Delhaize network of 322 stores. The merger was scrutinized due to concerns about its impact on the wholesale and retail distribution of food and consumer goods.
The BCA's review focused on the potential loss of competition in local markets, particularly in proximity stores and petrol station shops. The merger raised serious doubts regarding its admissibility, prompting Delhaize to propose commitments to alleviate these concerns.
Among the commitments, Delhaize agreed to divest several proximity stores and petrol station shops to another franchisor. Additionally, stores supplied by Delhaize or Delfood will receive more contractual freedom, ensuring they can compete effectively. The BCA will also oversee any future integration of stores into Delhaize's franchise networks to prevent excessive market concentration.
After evaluating these commitments, the BCA concluded they were sufficient to address its concerns, leading to the approval of the transaction.
