The Lithuanian Competition Council has authorized PreZero Automotive Holding to acquire 100% of the shares in Autorecycling Kempers, allowing the German company to take sole control of the firm.
The merger notification was submitted on August 13, 2026. After reviewing the transaction, the Competition Council concluded that the merger would not create or strengthen a dominant market position or significantly restrict competition in the relevant markets.
PreZero Automotive Holding, affiliated with various companies across the European Economic Area, provides integrated waste management services, food products, and operates the Lidl retail chain in Lithuania. Lidl Lietuva sells everyday consumer goods in non-specialist shops.
Autorecycling Kempers specializes in recycling and disposing of end-of-life vehicles and high-voltage batteries, trading in scrap metal and recycled materials. The company also operates an online platform for certified used car spare parts, catering to both B2B and B2C customers.
The merger was required to be notified to the Competition Council due to the combined revenues exceeding EUR 20 million, with at least two involved companies having revenues over EUR 2 million in the previous year.
