CMA Investigates Microsoft and OpenAI Partnership for Competition Concerns

The Competition and Markets Authority (CMA) has initiated an Invitation to Comment (ITC) regarding the partnership between Microsoft and OpenAI. This step is part of the CMA's information gathering process to assess whether the collaboration has resulted in a relevant merger situation and its potential impact on competition in the UK.
The partnership includes significant investments and exclusive cloud service provisions, raising concerns about the competitive landscape in the rapidly evolving field of artificial intelligence (AI) and foundation models (FMs). The CMA's recent report highlighted both opportunities and risks associated with FMs, emphasizing the importance of maintaining competition among AI developers to foster innovation and responsible practices.
As the CMA reviews the partnership, it will determine if there has been an acquisition of control or a change in the nature of control between the two entities. The authority is particularly focused on whether Microsoft's influence over OpenAI could weaken competition in the development and deployment of FMs.
Senior Director for Mergers at the CMA, Sorcha O’Carroll, stated that the ITC is a preliminary step before any formal phase 1 investigation can commence. The CMA is also continuing its broader examination of the implications of FMs for competition and consumer protection, with an update expected in March 2024.
