Conditional Approval for Fuel Market Acquisition

The President of the Office of Competition and Consumer Protection (UOKiK) has conditionally approved the acquisition of three gas stations by Anwim, the franchisor of the Moya gas station network, from Elbah II, the owner of stations in the Silesian Voivodeship, contingent on the termination of a franchise agreement with one of the franchisees.

Anwim, a franchisor, sought to acquire three gas stations from Elbah II, prompting an investigation by the UOKiK into local competition within a 2.5 km and 5 km radius of the stations. The UOKiK found potential competition issues in Radzionkow, leading to the requirement for Anwim to terminate a franchise agreement with Cagro Tank to preserve competition. The decision is subject to appeal to the Court of Competition and Consumer Protection. The transaction must be reported to the antitrust authority due to the turnover thresholds.
