Greek Competition Authority Approves HELLENIQ ENERGY's Acquisition of ELPEDISON

The Greek competition authority has approved HELLENIQ ENERGY HOLDINGS' acquisition of exclusive control over ELPEDISON B.V., determining it does not harm competition in the energy sector.


On May 29, 2025, the Greek Competition Authority unanimously approved the acquisition of exclusive control by HELLENIQ ENERGY HOLDINGS S.A. over ELPEDISON B.V. This decision was made during a meeting of the Competition Commission, as per Article 8, paragraph 3 of Law 3959/2011.

Prior to this transaction, ELPEDISON B.V. was jointly controlled by HELLENIQ ENERGY HOLDINGS S.A. and Edison International Shareholdings S.P.A. The authority assessed the implications of this concentration in the energy sector and related markets, including wholesale electricity production and supply, electricity trading, retail electricity supply, wholesale and retail natural gas supply, and oil refining and marketing.

The Commission concluded that the acquisition does not raise serious doubts regarding its compatibility with competition requirements in the relevant markets, despite falling under the scope of paragraph 1 of Article 6 of Law 3959/2011. This indicates a positive outlook for the competitive landscape in the energy sector following the merger.
