The Austrian competition authority has placed conditions on a planned merger between Messezentrum Salzburg GmbH and EAFINITY Beteiligungsverwaltungs GmbH to ensure effective competition in the market.

A planned acquisition involved Messezentrum Salzburg GmbH acquiring 100% of EAFINITY's shares from RX Salzburg GmbH, which had previously transferred its trade fair business to EAFINITY.
Concerns arose regarding a non-controlling minority stake that Messezentrum Salzburg GmbH would acquire in Design Center Linz Betriebsgesellschaft m.b.H. & Co KG, a competitor in the market for exhibition centers. This raised competition law concerns as it could provide access to sensitive information.
To address these concerns, Messezentrum Salzburg GmbH committed to specific obligations, including waiving approval, information, and control rights related to the minority stake in Design Center Linz.
The Austrian competition authority and the Federal Cartel Prosecutor deemed these commitments (Verpflichtungszusagen) by Messezentrum Salzburg GmbH sufficient to alleviate competition concerns.
