The Competition Council has cleared the Polish company Velvet Care's acquisition of 100 % of the shares of Private Label Tissue and Italian Paper and taking sole control of them.



The notification of intended concentration was received on 11 October 2024. Having assessed the circumstances of the transaction, the Competition Council has concluded that the proposed concentration will not lead to the creation or strengthening of a dominant position or to a significant impediment to competition in the relevant markets.



Velvet Care and its affiliated companies produce and sell tissue products in Poland, the Czech Republic, Germany, the Baltic States, Slovakia, Hungary and Romania. Velvet Care is a member of the Partners Group of companies, whose entities in Lithuania supply heat and electricity, sell a variety of goods, operate in the pharmaceutical sector, and provide information technology services.



Private Label Tissue produces and sells, and Italian Paper sells only tissue products in the Baltic States, Poland, Germany, the Czech Republic, Sweden, Italy, Romania, Austria, the Netherlands, Norway, Norway, Hungary and Ukraine.



The intended concentration must be notified to the Competition Council and cleared if the combined total revenues of the undertakings involved in the concentration in the last year before the merger exceed EUR 20 million and the combined total revenues of each of at least two undertakings involved in the concentration in the last year before the merger exceed EUR 2 million.

The Competition Council has given the green light to the acquisition of 100% of the shares of Private Label Tissue and Italian Paper by the Polish company Velvet Care, granting Velvet Care sole control over the two companies.

Velvet Care, part of the Partners Group, operates in multiple countries including Poland, the Czech Republic, Germany, and Romania, while Private Label Tissue and Italian Paper focus on tissue product production and sales in various European markets.

The transaction met the criteria for notification to the Competition Council, as the combined revenues of the companies involved exceeded specified thresholds, prompting the competition authority to assess and clear the merger.
