The Bundeskartellamt, Germany's competition authority, has granted clearance for Adobe Inc.'s acquisition of Semrush Holdings, Inc. This decision comes after a thorough preliminary review of the merger.

Adobe is a global technology company known for its creative and productivity applications, including Photoshop and PDF software. Additionally, Adobe offers marketing and commerce software, such as the Adobe Experience Manager, which is used for creating and managing online content.

Semrush specializes in online visibility management software, providing tools for search engine optimization to enhance brand presence. Recently, Semrush has introduced a tool aimed at optimizing brand visibility and image in generative AI models and chatbots like ChatGPT and Gemini.

Andreas Mundt, President of the Bundeskartellamt, stated that both Adobe and Semrush are leading providers in their respective fields. The authority conducted substantial investigations among customers and competitors due to potential market position strengthening in the rapidly evolving field of response machine optimization and content management. However, these investigations did not reveal serious concerns, indicating that sufficient alternatives exist and no market foreclosure through product bundling is anticipated. Consequently, the merger was approved.

The merger was assessed based on the legal regulation concerning transaction value thresholds, which mandates notification for mergers involving a purchase price exceeding 400 million euros, even if the acquired companies or assets have little or no revenue in Germany.
