The Autorité de la concurrence, France's competition authority, has completed its review of Auchan's acquisition of 98 food retail stores previously operated under the Casino banner. The authority granted Auchan a derogation from the suspensive effect of merger control, allowing the transaction to proceed while still subject to a final decision regarding competition concerns.
After thorough analysis, the Autorité concluded that the acquisition could potentially harm competition in two specific areas: Aubagne and the 11th arrondissement of Marseille. In these locations, the authority identified risks of Auchan enhancing its market power without sufficient alternatives for consumers, which could lead to reduced product diversity, lower service levels, or increased prices.
To mitigate these risks, Auchan has committed to divesting a store in Aubagne and transferring part of the retail space in the La Valentine shopping centre in Marseille to two competitors. This divestiture aims to ensure that competition remains robust and that consumers have access to a variety of food retail options.
The Autorité will oversee the implementation of these commitments, ensuring that the new operators can provide credible alternatives in the affected areas. The authority will also approve the buyers and transferees to confirm their capability to operate the stores effectively in the long term.
This decision is part of a broader examination of the food retail sector in France, where the Autorité has been monitoring the impact of various acquisitions and banner changes to maintain healthy competition and consumer choice.
