Ice Cream Merger Approved by Lithuanian Authority
The Lithuanian Competition Council has granted permission for Froneri International Limited to acquire Food Union Luxembourg Group, concluding that the merger will not harm competition.

The Lithuanian Competition Council has approved the acquisition of Food Union Luxembourg Group by Froneri International Limited, allowing the ice cream manufacturer to gain full control over the company.
The merger notification was submitted on November 4, 2025. After a thorough assessment, the Competition Council determined that the merger would not create or strengthen a dominant market position or significantly restrict competition in the relevant markets.
Froneri International Limited is known for producing and licensing various ice cream brands, including Manhattan, Oreo, Milka, Scholler, and Pirulo, although it does not have local manufacturing operations in Lithuania. Instead, it imports its products and sells them through third-party retailers and distributors.
Food Union Luxembourg Group, on the other hand, operates in several countries including the Baltic States, Denmark, Norway, and Romania, and sells ice cream products under local brands such as Pols, Klasika, Jocker, Bravo, and Ekselence in Lithuania.
The merger was subject to notification and clearance by the Competition Council due to the combined revenues of the involved parties exceeding EUR 20 million, with at least two of the undertakings having revenues over EUR 2 million in the year prior to the merger.
