The Greek competition authority has officially initiated a full investigation into the acquisition of Delta Schools by Alphabet Education, as of April 8, 2024. This move follows the notification of the merger on September 17, 2024, and is in accordance with Article 8, paragraph 4 of Law 3959/2011.
Alphabet operates primarily in the education sector through its subsidiaries, including Akmi, which provides vocational training and lifelong learning services, and Metropolitan College, which also offers educational services. Delta Schools similarly provides vocational training and lifelong learning through its own institutions.
The preliminary assessment by the competition authority indicates serious doubts regarding the compatibility of the merger with competition requirements in specific markets, particularly in the provision of vocational training services through private educational institutions in regions such as Attica, Thessaloniki, and Volos. The authority is concerned that the merger may lead to horizontal effects of uncoordinated behavior, creating or strengthening a dominant position in these markets.
Additionally, the authority is examining potential impacts on the labor market for educators, as the merging companies operate as buyers in this sector. During the full investigation, the authority will assess whether the doubts regarding the merger's compatibility with competition requirements are confirmed.
According to the provisions of Article 8, paragraph 4 of Law 3959/2011, the participating companies may propose modifications to the merger or suggest commitments to alleviate the competition concerns. The competition authority is expected to issue a decision on the merger within 90 days from the initiation of the full investigation, although this does not preclude the final outcome of the assessment.
