MEDE.CCS.2 6 - 00 01 : Jaguar Holdco BV / Mississippi Holdco BV - Zaak die in aanmerking kan komen voor de vereenvoudigde procedure Op 13 januari 2026 ontving de auditeur - generaal van de Belgische Mededingingsautoriteit een aanmelding van een concentratie in de zin van artikel IV.10 , § 1 van boek IV “Bescherming van de mededinging” van het Wetboek van economisch recht. De aanmelding betreft de verwerving van uitsluitende zeggenschap van Mississippi Holdco BV, eigenaar van de Jumbo supermarkten, over Jaguar Holdco BV, eigenaar van de HEMA warenhuizen, dat momenteel onder gezamenlijke zeggenschap staat van Mississippi Holdco BV en Parcom Buy - Out Fund VI Coöperatief U.A. Volgens de aanmelding heeft de concentratie betrekking op de sector van (i) o verige detailhandel in nieuwe artikelen n.e.g. , (ii) o verige niet - gespecialiseerde detailhandel en (iii) n iet - gespecialiseerde detailhandel waarbij voedings - en genotmiddelen overheersen . Overeenkomstig artikel IV.70 , §1 van het Wetboek van economisch recht, heeft de aanmeldende partij de toepassing van de vereenvoudigde procedure gevraagd. Het Auditoraat verzoekt belanghebbende derden hun eventuele opmerkingen ten aanzien van de voorgenomen concentratie kenbaar te maken, bij voorkeur voor 20 januari 2026. CC S.26 - 0001 : Jaguar Holdco BV / Mississippi Holdco BV - Cas susceptible d’être traité selon la procédure simplifiée Le 13 janvier 2026 , l’auditeur général de l’Autorité belge de la Concurrence a reçu une notification de concentration au sens de l'article IV.10, § 1er du livre IV « Protection de la concurrence » du Code de droit économique. La notification concerne l’acquisition du contrôle exclusif de Mississippi Holdco BV, propriétaire des supermarchés Jumbo, sur Jaguar Holdco BV, propriétaire des magasins HEMA, actuellement sous contrôle conjoint de Mississippi Holdco BV et Parcom Buy - Out Fund VI Coopératief U.A. Selon la notification, l'opération de concentration concerne le secteur (i ) autre commerce de détail de biens neufs en magasin spécialisé n.c.a. , (ii) autre commerce de détail non spécialisé et (iii) commerce de détail non spécialisé dans lequel les produits alimentaires et le tabac prédominent . Conformément à l’article IV.70 , §1er du Code de droit économique, la partie notifiante a demandé l’application de la procédure simplifiée. L’Auditorat invite les tiers ayant un intérêt à transmettre leurs éventuelles observations sur l'opération de concentration envisagée de préférence avant le 20 janvier 2026. Notification of Merger Between Jaguar Holdco and Mississippi Holdco

On January 13, 2026, the Belgian competition authority received a notification of a concentration under Article IV.10, §1 of the Economic Law Code. This notification pertains to the acquisition of exclusive control of Mississippi Holdco BV, owner of Jumbo supermarkets, over Jaguar Holdco BV, owner of HEMA department stores.

 Currently, Jaguar Holdco BV is under joint control of Mississippi Holdco BV and Parcom Buy-Out Fund VI Cooperative U.A. The concentration is relevant to sectors including retail of new goods, non-specialized retail, and retail where food and beverages are predominant.

 The notifying party has requested the application of the simplified procedure as per Article IV.70, §1 of the Economic Law Code. The authority invites interested third parties to submit their comments regarding the proposed concentration, preferably by January 20, 2026.
