SPAR Plans to Acquire 23 UNIMARKT Stores in Austria

SPAR Österreichische Warenhandels-Aktiengesellschaft has notified the Austrian Federal Competition Authority of its intention to acquire 23 stores from UNIMARKT Handelsgesellschaft m.b.H. & Co. KG.

SPAR Österreichische Warenhandels-Aktiengesellschaft is set to take over 23 stores from UNIMARKT Handelsgesellschaft m.b.H. & Co. KG, as announced to the Austrian Federal Competition Authority (AFCA). This planned acquisition follows pre-notification discussions between the two companies and the AFCA, aimed at addressing potential competition issues.

The AFCA has engaged in dialogue with various market participants to assess the competitive landscape of the food retail sector. The authority has defined the relevant market as full-range food retail, which includes supermarkets and discount stores, while excluding smaller outlets like kiosks.

Geographically, the AFCA has determined that the catchment area for grocery shopping typically ranges from 10 to 20 minutes by car, particularly in rural areas. This assessment will help evaluate the impact of the merger on competition at each store location.

UNIMARKT's exit from the market is expected to increase market concentration, which the AFCA is closely monitoring. The authority has until January 14, 2026, to complete its examination of the merger, with the possibility of extending the review period if necessary.

If no competition issues arise, the merger may be cleared. However, if concerns are identified, the AFCA may initiate a Phase I investigation, and potentially escalate to a Phase II examination if needed.
