The Lithuanian competition authority has approved the acquisition of 100% of the shares in Restoranai dvylika and CCF kavinės by the Estonian company Apollo Group. This decision allows Apollo Group to assume joint control over these companies.

The merger notification was submitted on June 16, 2026. After a thorough assessment, the Competition Council determined that the merger would not create or strengthen a dominant market position or significantly restrict competition in the relevant sectors.

Apollo Group is involved in various activities, including holding companies, real estate development, veterinary product trading, and managing a portfolio of restaurants, which includes well-known brands like KFC and Can Can Pizza in Lithuania.

Restoranai dvylika operates ten restaurants under the Restoranas 12 brand in major cities like Vilnius and Kaunas, while CCF kavinės runs the Caif Cafe chain across several Lithuanian cities, providing public catering services.

The merger was required to be notified to the Competition Council due to the combined revenues of the involved companies exceeding EUR 20 million, with at least two of the companies having revenues over EUR 2 million in the previous year.
