WiseTech to Sell Expedient After ACCC Investigation

The Australian Competition and Consumer Commission (ACCC) has accepted a court-enforceable undertaking from WiseTech Global to divest its subsidiary Expedient following an investigation into competition concerns.

The Australian Competition and Consumer Commission (ACCC) has mandated WiseTech Global to divest Expedient, a logistics software business, as part of a resolution to competition concerns raised during an investigation. This decision follows WiseTech's acquisition of Expedient through its purchase of e2open Parent Holdings, which was completed in August 2025.

ACCC Chair Gina Cass-Gottlieb highlighted that WiseTech proceeded with the acquisition before the ACCC could complete its review, despite being aware of significant competition concerns. The ACCC's investigation aimed to determine if the acquisition would substantially lessen competition, violating merger laws.

The court-enforceable undertaking requires WiseTech to sell Expedient to an ACCC-approved purchaser, ensuring that Expedient can operate as a viable competitor in the logistics software market in Australia. This divestiture is crucial as WiseTech is already the largest supplier of cloud-based logistics software, and the acquisition of Expedient was seen as reducing competition and choice for Australian customers.

Prior to the new merger regime effective from January 1, 2026, there was no obligation for merger parties to seek ACCC clearance before completing acquisitions. The ACCC emphasized the importance of notifying them of any acquisitions that meet certain thresholds to avoid potential breaches of competition law.

The ACCC's investigation revealed concerns from users of logistics software about potential price increases and reduced service quality following the acquisition. The undertaking aims to restore competition in the market by ensuring Expedient remains an independent entity.
