04.06.2025 | Belgian competition authority
On June 2, 2025, the Belgian Competition Authority (BCA) announced its approval of the acquisition of Edibo Group by Willy Naessens Build NV, a subsidiary of the Willy Naessens Group. The acquisition was officially notified to the BCA on May 26, 2025, and the authority determined that the conditions for a simplified review procedure were satisfied.
The Willy Naessens Group operates across various sectors in Europe, including construction, concrete production, and food services. Its construction division, Willy Naessens Build, manages the entire construction value chain, from design to assembly, and also manufactures custom precast concrete elements.
Edibo Group, a Belgian contracting firm, specializes in industrial construction and operates in both Belgium and the Netherlands. The group includes several subsidiaries and has locations in Lommel, Fernelmont, Antwerp, and Eindhoven. The merger involves both the construction of non-residential buildings and the production and sale of precast concrete elements.
The BCA's decision indicates that the merger does not raise any competitive concerns, allowing the acquisition to proceed without objections. The BCA plays a crucial role in enforcing competition policy in Belgium, addressing anti-competitive practices and reviewing significant mergers.
