CC S.25 - 00 2 9 : Proximus NV – AG Insu rance NV – Fonds National d’Entraide VZW / Dokt r BV - Cas susceptible d’être traité selon la procédure simplifiée L e 24 septembre 2025 , l’auditeur général de l’Autorité belge de la Concurrence a reçu une notification de concentration au sens de l'article IV.10, § 1er du livre IV « Protection de la concurrence » du Code de droit économique. Le projet de concentration porte sur l'acquisition du contrôle conjoint de Doktr BV par Proximus NV , AG Insurance NV et Fond Nationale d’Entraide VZW . Selon la notification, la concentration concerne le s secteur s suivants : (i) infrastructure informatique, traitement de données, hébergement et activités connexes; (ii) activités de services informatique; (iii) activités de télécommunications filaires, sans fil et satellitaires; (iv) fabrication d’équipements de communication; (v) activités des entreprises d’assurances multibranches à prédominance non - vie et (vi) mutuelles et caisses d’assurances soins. Conformément à l’article IV.70 , §1er du Code de droit économique, les parties notifiantes ont demandé l’application de la procédure simplifiée. L’Auditorat invite les tiers ayant un intérêt à transmettre leurs éventuelles observations sur l'opération de concentration envisagée de préférence avant le 30 septembre 2025. MEDE.CCS.25 - 00 29 : Proximus NV – AG Insurance NV – Nationaal Hulpfonds VZW / Doktr BV - Zaak die in aanmerking kan komen voor de vereenvoudigde procedure Op 24 september 2025 ontving de auditeur - generaal van de Belgische Mededingingsautoriteit een aanmelding van een concentratie in de zin van artikel IV.10 , § 1 van boek IV “Bescherming van de mededinging” van het Wetboek van economisch recht. De voorgenomen concentratie heeft betrekking op de verwerving van gezamenlijke zeggenschap door Proximus NV , AG Insurance NV en Nationaal Hulpfonds VZW over Doktr BV . Volgens de aanmelding heeft de concentratie betrekking op volgende sectoren: (i) computerinfrastructuur, gegevensverwerking, hosting en aanverwante activiteiten; (ii) ontwerpen van computerprogramma’s; (ii i ) draadgebonden en draadloze telecommunicatie en telecommunicatie via satelliet ; (i v ) vervaardiging van communicatieapparatuur ; ( v) activiteiten van gemengde verzekeringsentiteiten, overwegend niet - leven en (vi) ziekenfondsen en zorgkassen. Overeenkomstig artikel IV.70 , §1 van het Wetboek van economisch recht, hebben de aanmeldende partijen de toepassing van de vereenvoudigde procedure gevraagd. Het Auditoraat verzoekt belanghebbende derden hun eventuele opmerkingen ten aanzien van de voorgenomen concentratie kenbaar te maken, bij voorkeur voor 30 september 202 5 . Proximus and Partners Notify Merger with Doktr BV

On September 24, 2025, the Belgian competition authority received a notification of a concentration under Article IV.10, § 1 of the Economic Code. The proposed concentration involves the joint control of Doktr BV by Proximus NV, AG Insurance NV, and Fonds National d’Entraide VZW.

 The sectors affected by this concentration include: (i) IT infrastructure, data processing, hosting, and related activities; (ii) IT services; (iii) wired, wireless, and satellite telecommunications; (iv) manufacturing of communication equipment; (v) multi-branch insurance activities predominantly non-life; and (vi) mutuals and health insurance funds.

 In accordance with Article IV.70, §1 of the Economic Code, the notifying parties have requested the application of the simplified procedure. The authority invites interested third parties to submit their observations regarding the proposed concentration, preferably by September 30, 2025. Observations can be sent via email referencing MEDE.CC.S25-0029 to conc@bma-abc.be.
