CC S.25 - 00 27 : Accenture / BNPPF - Cas susceptible d’être traité selon la procédure simplifiée Le 8 décembre 2025 , l’auditeur général de l’Autorité belge de la Concurrence a reçu une notification de concentration au sens de l'article IV.10, § 1er du livre IV « Protection de la concurrence » du Code de droit économique. La concentration impliquant l’acquisition du contrôle exclusif par AOCS, société anonyme nouvellement constituée, détenue à 100% par Accenture Holdings BV et contrôlée en dernier ressort par Accenture PLC (prise ensemble avec ses filiales, le Groupe Accenture), de certaines divisions du Client Service Center de BNP Paribas Fortis NV/SA (« BNPPF ») par contrat de transfert de divisions d’entreprise. Selon la notification, l'opération de concentration concerne le secteur d ’ (i) a ctivités de conseil en informatique et de gestion d’installations informatiques . Conformément à l’article IV.70 , §1er du Code de droit économique, la partie notifiante a demandé l’application de la procédure simplifiée. L’Auditorat invite les tiers ayant un intérêt à transmettre leurs éventuelles observations sur l'opération de concentration envisagée de préférence avant le 10 décembre 2025. CONC .CCS.25 - 00 27 Accenture / BNPPF - Zaak die in aanmerking kan komen voor de vereenvoudigde procedure Op 8 december 2025 ontving de auditeur - generaal van de Belgische Mededingingsautoriteit een aanmelding van een concentratie in de zin van artikel IV.10 , § 1 van boek IV “Bescherming van de mededinging” van het Wetboek van economisch recht. De concentratie betreft de verwerving van de exclusieve zeggenschap door AOCS, een nieuw opgerichte naamloze vennootschap die voor 100% in handen is van Accenture Holdings BV en uiteindelijk gecontroleerd door Accenture PLC (samen met haar dochterondernemingen, de Accenture Groep), van bepaalde divisies van het Client Service Center van BNP Paribas Fortis NV/SA (“BNPPF”) door middel van een overeenkomst tot overdracht van bedrijfsdivisies . Volgens de aanmelding heeft de concentratie betrekking op de sector van (i) adviesdiensten op het gebied van informatica en beheer van informatica - installaties . Overeenkomstig artikel IV.70 , §1 van het Wetboek van economisch recht, heeft de aanmeldende partij de toepassing van de vereenvoudigde procedure gevraagd. Het Auditoraat verzoekt belanghebbende derden hun eventuele opmerkingen ten aanzien van de voorgenomen concentratie kenbaar te maken, bij voorkeur voor 10 december 2025 . CC S. 2 5 - 00 27 Accenture / BNPPF Le 8 décembre 2025, l’Auditeur - général de l’Autorité belge de la concurrence a reçu une notification simplifiée d’un projet de concentration conformément aux articles IV.10 et IV.63 du Code de droit économique belge impliquant l’acquisition du contrôle exclusif par AOCS, société anonyme nouvellement constituée, détenue à 100% par Accenture Holdings BV et contrôlée en dernier ressort par Accenture PLC (prise ensemble avec ses filiales, le Groupe Accenture), de certaines divisions du Client Service Center de BNP Paribas Fortis NV/SA (« BNPPF ») par contrat de transfert de divisions d’entreprise .

Accenture to Acquire Divisions from BNP Paribas Fortis

On December 8, 2025, the Belgian competition authority received a notification concerning a concentration involving Accenture's acquisition of exclusive control over certain divisions of BNP Paribas Fortis NV/SA.

 The acquiring entity, AOCS, is a newly established company fully owned by Accenture Holdings BV and ultimately controlled by Accenture PLC, along with its subsidiaries.

 This transaction pertains to the sector of IT consulting and management services. The notifying party has requested the application of a simplified procedure as per the Belgian Economic Code.

 The authority invites interested third parties to submit their observations regarding the proposed concentration, preferably before December 10, 2025, via email.
