On February 4, 2025, the Belgian Competition Authority (BCA) granted conditional approval for Multipharma's acquisition of Goed pharmacies, specifically through its subsidiary Popelin. Multipharma operates a network of 279 pharmacies and a wholesale distribution center, while Popelin manages 92 pharmacies and wholesale activities in Flanders.
The merger was subject to BCA's prior approval due to the combined turnover of the companies. The BCA's assessment focused on the potential impact of the acquisition on retail prices, quality, and accessibility of pharmaceutical products and services.
Concerns arose in 14 local markets, particularly in Mechelen and Willebroek, regarding Multipharma's increased market power post-acquisition. To address these concerns, Multipharma proposed commitments, including divesting four pharmacies in Mechelen and closing two temporarily closed pharmacies in Willebroek, along with restrictions on acquiring new licenses.
The commitments were set for durations of five to ten years, depending on the specific obligation. Following a thorough analysis and market testing, the BCA deemed these commitments sufficient to alleviate competition concerns, leading to the approval of the acquisition.
