Belgian Authority Greenlights Emil Frey Group's Acquisition of AB Lens Motor

The Belgian Competition Authority has approved the Emil Frey group's acquisition of AB Lens Motor, citing limited overlaps and sufficient competition in the market.


On January 31, 2025, the Belgian Competition Authority (BCA) granted approval for the Emil Frey group to acquire sole control of AB Lens Motor. The acquisition was notified on January 23, 2025, and the BCA applied a simplified procedure due to the nature of the transaction.

The Emil Frey group operates as a retailer of new and used passenger cars and light commercial vehicles (LCVs) in Belgium, representing brands such as Volkswagen, Audi, and Renault. They also provide maintenance, repair, and bodywork services for these vehicles, primarily in the provinces of Liège and Luxembourg, as well as in Brussels.

AB Lens Motor, on the other hand, specializes in the retail sale of new and used Renault Trucks and Fiat Professional trucks, along with JCB brand equipment. They also offer maintenance and repair services for LCVs and trucks, operating four dealerships across Belgium.

The BCA noted that the activities of both companies overlap in several areas, including the sale of LCVs, distribution of spare parts, and maintenance services. However, the authority concluded that the concentration does not raise significant concerns due to the limited nature of these overlaps and the presence of residual competition in the market.
