The Autorité de la concurrence has cleared Intermarché to acquire 200 former Casino group stores, subject to divesting 11 stores to ensure competition and consumer choice.

The Autorité de la concurrence has approved Intermarché's acquisition of 200 food retail stores previously operated by the Casino group, with conditions. Intermarché was granted a derogation from the suspensive effect of merger control due to the stores' economic difficulties.

After examining the transaction, the Autorité identified 11 local areas where the acquisition could hinder competition in the retail distribution of food products. To address this, Intermarché proposed divesting 11 stores to competitors to maintain competition and consumer interests.

Intending to safeguard local competition, the divestitures involve a change of banner to prevent price rises or reduced offerings. The Autorité will ensure that the divestiture process is closely monitored to maintain effective competition and the continued operation of the stores.

Additionally, the decision explains the concept of a derogation from the suspensive effect, which allows parties to finalize a transaction before clearance in exceptional circumstances, such as when the acquired business faces significant difficulties.
