Eagle Hills' Acquisition of Sunčani Hvar Approved with Conditions

The Croatian Competition Agency has conditionally approved Eagle Hills' acquisition of Sunčani Hvar and Sunčani Hvar Nekretnine, requiring specific commitments to mitigate potential anticompetitive effects.


On January 22, 2025, the Croatian Competition Agency (CCA) granted conditional approval for Eagle Hills to acquire a direct controlling interest in Sunčani Hvar and Sunčani Hvar Nekretnine. The approval was contingent upon the implementation of specific commitments aimed at addressing potential anticompetitive effects in the hospitality sector, particularly in Split-Dalmatia County.

The CCA's decision was based on a thorough analysis of the market structure, including existing and potential competitors, market share indicators, and the anticipated benefits for consumers. The agency concluded that the acquisition could proceed if Eagle Hills adhered to the proposed remedies, which were designed to enhance competition and consumer welfare.

Among the commitments accepted by the CCA, Eagle Hills pledged to invest between 20 to 30 million euros in the renovation and refurbishment of Hotel Sirena and Hotel Amfora, as well as other accommodations. This investment aims to diversify hotel offerings and increase overall hotel supply on Hvar Island, particularly outside the town center.

Additionally, Eagle Hills committed to maintaining existing contracts with Croatian suppliers, ensuring that commercial terms remain favorable. This measure is intended to stabilize the market and support local suppliers, thereby enhancing competition and reducing potential market failures.

Furthermore, the company agreed to increase the value of contracts with local Hvar suppliers by 0 to 10% compared to the previous year, fostering a more resilient and efficient local supply chain. The CCA appointed PricewaterhouseCoopers as the monitoring trustee to oversee compliance with these commitments, requiring semi-annual reports on their implementation.
