ACCC Approves Black Rhino's Acquisition with Conditions

The Australian Competition and Consumer Commission has approved Black Rhino's acquisition of Club Hotel Motel Roma, contingent upon the divestiture of at least one bottle shop to maintain competition.

The Australian Competition and Consumer Commission (ACCC) has granted approval for Black Rhino Group Pty Ltd's acquisition of Club Hotel Motel Roma and associated bottle shops from Speedy Cocktails Pty Ltd, but with specific conditions aimed at preserving competition in the local market.

Black Rhino and Speedy Cocktails are two of the three operators of bottle shops in Roma, Queensland, with the third being Australian Venue Co. The ACCC's Phase 1 review raised concerns that the acquisition could significantly lessen competition in the supply of off-premises takeaway liquor and on-premises hospitality services.

ACCC Commissioner Dr. Philip Williams highlighted that the acquisition would reduce the number of independent bottle shop owners in Roma from three to two, increasing market concentration in an already competitive environment. To address these concerns, the ACCC has mandated that Black Rhino divest at least one, and potentially two, bottle shops before finalizing the acquisition.

This divestiture condition is intended to maintain the current level of competition among bottle shops in Roma, ensuring that a third-party buyer, approved by the ACCC, can continue to compete effectively with Black Rhino and Australian Venue Co.

Black Rhino operates various hospitality venues across multiple states, while Speedy Cocktails manages Club Hotel Motel Roma, which offers a range of services including dining, gaming, and liquor sales.

Since January 1, 2026, businesses must notify the ACCC of acquisitions that meet specific thresholds and await approval before proceeding, with the ACCC required to make a decision within 15 to 30 business days during its Phase 1 assessment.
