The Spanish competition authority, CNMC, has initiated a second-phase analysis of Decathlon's acquisition of several Intersport assets, citing potential risks to competition in the sports retail market in Tenerife.

The CNMC has announced the commencement of a second-phase analysis regarding Decathlon's acquisition of exclusive control over several assets of Intersport, which is currently in liquidation. This acquisition is significant as it impacts the sports retail market on the island of Tenerife.

During the initial phase of the review, the CNMC identified a high level of market concentration in the sale of sports equipment, clothing, and technical footwear. The authority expressed concerns that this acquisition could diminish competitive pressure in the market due to existing barriers to entry, such as the challenges new operators face in securing attractive physical locations.

These barriers may lead to several risks, including a reduced variety and availability of sports products, particularly from third-party brands, a decline in service quality and specialization, limited geographical coverage, and decreased incentives for innovation among retailers.

Although Decathlon proposed commitments to alleviate these concerns, the CNMC deemed them insufficient to address the identified issues. The transition to a second phase does not imply any conclusions about the acquisition's outcome. The CNMC may request additional information from various operators, and both the notifying party and interested third parties can submit arguments to defend their interests.

The final resolution could either authorize the acquisition, impose commitments, set conditions, or prohibit the concentration altogether.
