The Czech competition authority, Úřad pro ochranu hospodářské soutěže, has granted approval for the merger between Česká lékárna holding, a.s. and Lékárna Na Petřinách s.r.o. This decision allows Česká lékárna holding, part of the international Penta group, to gain exclusive control over the pharmacy chain.
Penta operates in various sectors in the Czech Republic, including healthcare services, retail pharmacy through the Dr. Max chain, and wholesale distribution of pharmaceuticals. Lékárna Na Petřinách operates 15 pharmacies in the retail sale of medicines and pharmacy goods.
In assessing the merger's impact, the authority focused on the retail market for pharmaceuticals, particularly the overlap in activities between the merging parties. They analyzed local market shares and consumer purchasing habits around each of the 15 pharmacies to determine the competitive landscape.
The authority concluded that the merger would not significantly disrupt competition, as it would only slightly strengthen Penta's position in local retail markets without leading to a dominant market position for the Dr. Max chain. The analysis indicated that Penta would still face competition from other players, including BENU and numerous independent pharmacies.
Additionally, the authority considered potential market changes due to a parallel merger proposal involving Česká lékárna holding and another competitor, Pražská lékárnická s.r.o. They found no negative impacts on the wholesale distribution of pharmaceuticals, where Penta operates through ViaPharma. The authority also addressed several objections raised by competitors regarding the merger.
