The UK Competition and Markets Authority (CMA) has announced a Phase 2 investigation into the merger between Aramark, a US-based food services company, and Entier, a Scottish catering firm. This decision follows a Phase 1 review that raised concerns about the potential impact of the merger on competition in the offshore catering sector.
Aramark acquired a 90% stake in Entier in January 2025. Entier reported a turnover of approximately £83 million globally in 2024, with around £70 million generated from its UK operations. Both companies provide essential catering and facilities management services to the offshore energy sector, including oil rigs and wind farm projects in the North Sea.
The CMA's Phase 1 investigation, concluded on July 22, 2025, indicated that the merger could lead to higher prices and a reduction in service options for companies requiring on-site catering for their offshore staff. As a result, the CMA has referred the case for a more detailed Phase 2 inquiry, which will be conducted by an independent panel of experts.
Neither Aramark nor Entier proposed any Undertakings in Lieu to address the CMA's concerns, prompting the need for this comprehensive review. Further details about the investigation can be found on the CMA's official case page for Aramark and Entier.
