Latvian Competition Authority Approves Merger Between CODEX and Visma Consulting
The Latvian competition authority has granted approval for CODEX to acquire sole control over Visma Consulting, determining that the merger will not significantly harm competition.

On August 7, 2025, the Latvian Competition Authority (KP) decided to allow SIA CODEX to gain sole decisive influence over Visma Consulting SIA. The KP found no substantial harm to competition, leading to the approval of the merger.
Both CODEX and Visma Consulting operate in the information technology sector, providing custom-developed information systems, maintenance, and consulting services to public institutions as well as state and private enterprises.
The KP assessed the impact of the merger on competition and concluded that there are many other active and competitive service providers in the markets for custom information system development and related consulting services. This ensures effective competition will continue with the merged entity.
As a result, the KP determined that the merger would not significantly alter the market structure, reduce competition, or create or strengthen a dominant position in these markets in Latvia, thus allowing the merger.
To prevent significant reductions in competition due to mergers, the Competition Law requires that such transactions meeting specific criteria receive approval from the KP. This ensures state control over market concentration to avoid structural changes that could limit consumer choices or lead to non-competitive pricing for goods and services.
This year, the KP has already made 11 decisions regarding market participant mergers, with three cases undergoing in-depth investigations. In one instance, the merger was approved with binding conditions to mitigate its negative impact on competition.
