The Netherlands Authority for Consumers and Markets (ACM) has decided to block the acquisition of Unox by Zwanenberg due to significant competition concerns. The planned acquisition would have positioned Zwanenberg as a dominant supplier in the markets for smoked sausages, boiled sausages, and ambient wet soups, potentially leading to higher prices for consumers.
ACM's investigation revealed that Zwanenberg would have gained market shares ranging from 60 to 85 percent in these categories, effectively limiting competition and supplier options for supermarkets. This dominance raised alarms about the risk of price hikes, which could adversely affect consumers already facing rising food costs.
Martijn Snoep, Chair of ACM, emphasized the authority's commitment to preventing higher prices resulting from reduced competition. The investigation included feedback from various supermarkets, which expressed concerns about the implications of the acquisition on pricing and supplier diversity.
Despite opportunities for Zwanenberg to propose remedies to alleviate ACM's concerns, the proposals were deemed insufficient. ACM found that the suggested measures would not adequately ensure competition, particularly in the boiled sausages market, and highlighted the challenges new entrants would face in overcoming significant investment barriers.
As a result, ACM has officially blocked the acquisition, allowing Zwanenberg and Unox the option to appeal the decision. This case underscores ACM's role in maintaining competitive markets and protecting consumer interests in the face of potential monopolistic practices.
