On May 13, 2025, the Belgian Competition Authority (BCA) granted approval for the Ghistelinck Group, through its subsidiary Zilverpijl, to acquire sole control over Van Gogh Capital, which manages the MIG Group. This decision follows an earlier approval from October 19, 2023, where the Ghistelinck Group and United NRJ were given joint control over the MIG Group.
The acquisition was officially notified to the BCA on May 7, 2025, with a request for a simplified procedure. The Ghistelinck Group operates in the automotive sector, dealing with the sale and maintenance of new and used passenger cars, light commercial vehicles, and trucks, along with spare parts and body repair services. They have eleven branches across East Flanders, West Flanders, and Hainaut, representing brands such as Mercedes-Benz, Dongfeng, and Voyah.
On the other hand, the MIG Group, under Van Gogh Capital, also engages in similar activities, including the sale of new and used vehicles and maintenance services, with seven branches in East Flanders, distributing brands like Volkswagen, Audi, and Škoda. The BCA noted that the activities of both groups overlap in East Flanders, particularly in the sale of new and used vehicles and body repair work.
In its decision, the BCA confirmed that the conditions for applying the simplified procedure were satisfied and that the merger did not raise any competitive concerns.
