MM Grupp Fined for Unnotified Merger in Lithuania

The Lithuanian competition authority has fined MM Grupp €7.5 million for acquiring Forum Cinemas without prior approval, highlighting the importance of regulatory compliance in mergers.

The Estonian company MM Grupp, which operates the Apollo cinema chain, has been found in violation of the Law on Competition by acquiring control of Forum Cinemas Lithuania without the necessary permission from the Competition Council. As a result, the authority imposed a fine of €7,507,930 on MM Grupp and mandated the cessation of the infringement.

The investigation revealed that MM Grupp effectively exercised control over Forum Cinemas Lithuania since April 2021, restructuring the acquired business and integrating key cinemas into its Apollo chain. Despite receiving a merger notice in March 2021, MM Grupp proceeded with the acquisition without waiting for the Competition Council's final decision, which raised concerns about potential negative impacts on competition.

Jolanta Ivanauskienė, Chairwoman of the Competition Council, stressed the seriousness of implementing a merger without permission, as it prevents the authority from assessing the transaction's competitive effects. The law allows for fines up to 10% of a company's total annual global revenue for such violations, and the imposed fine represents 0.8% of MM Grupp's total consolidated revenue.

MM Grupp has six months to either submit a merger notice for clearance or restore the pre-merger situation. The decision can be appealed within one month.
