Spanish Hospital Group Fined for Unreported Acquisition

The Spanish competition authority has fined the HM hospital group for failing to notify its acquisition of the Hospital General de la Santísima Trinidad, acknowledging their oversight.

The Comisión Nacional de los Mercados y la Competencia (CNMC) has imposed fines on Profesionales de la Medicina y de la Empresa, S.A. (PME) and its subsidiary, Hospital de Salamanca, for acquiring exclusive control of the Hospital General de la Santísima Trinidad without prior notification. The total fines amount to €106,700, with PME fined €83,000 and Hospital de Salamanca €23,700.

This violation, referred to as 'gun jumping', breaches Article 9.1 of the Spanish Competition Defense Law, which mandates that companies must notify their operations before execution. The acquisition took place in December 2024, but the necessary notification was not made until June 2025, after the CNMC initiated a sanctioning procedure.

During the investigation, both PME and Hospital de Salamanca acknowledged their responsibility and opted for a reduction in their fines under Article 85.3 of Law 39/2015, which allows for a penalty reduction of up to 40% if the companies admit to the infringement and pay the fine in advance. Consequently, the final amounts paid were €49,800 by PME and €14,220 by Hospital de Salamanca.

The CNMC has now concluded the sanctioning procedure, emphasizing the importance of compliance with notification requirements in mergers and acquisitions to maintain fair competition in the market.
