French Authority Approves VKR Holding's Acquisition of Tryba Group

The French competition authority has unconditionally approved VKR Holding's acquisition of the Tryba group, concluding that the transaction poses no anticompetitive risks.

On July 22, 2025, Dovista, a subsidiary of VKR Holding, notified the French competition authority, Autorité de la concurrence, of its intention to acquire the Tryba group. VKR Holding, a Danish conglomerate known for its Velux brand, oversees Dovista, which specializes in vertical windows and exterior doors.

The Autorité de la concurrence assessed the potential impacts of the acquisition on the markets for roof windows, vertical windows, and exterior doors in France. After thorough examination, the authority found no significant risks to competition, primarily due to the limited market shares held by both VKR and Tryba.

In its analysis, the authority considered both horizontal and vertical effects of the transaction. It determined that there were no anticompetitive risks in the manufacturing and retail distribution of vertical windows and doors. Additionally, the authority ruled out any concerns regarding input foreclosure or customer access, despite Velux's strong market position in roof windows, as Tryba primarily sells its own manufactured products.

Furthermore, the Autorité dismissed any potential conglomerate effects that could arise from bundling strategies between Tryba's and Velux's products, noting the distinct customer bases of the two companies. Consequently, the authority cleared the acquisition without any conditions.
