The Belgian Competition Authority approves merger between Group Gijbels and Group Remy  
On  23  December  2024,  the  Belgian  Competition  Authority  ("BCA") approved  the  concentration whereby Group 
Gijbels and Group Remy will merge and be incorporated into a new company to serve as a holding company (‘Fresh 
Horizon NV’).  
 
The  concentration  was  notified  on  12  December  2024  and  the  application  of  the  simplified  procedure  was 
requested. 
Group Remy, consisting of JR Logistics and its subsidiaries JR Transport SA and Jacques Remy et Fils SA, is active in 
the import, wholesale, packaging and distribution of fresh fruit and vegetables.  
Group Gijbels consisting of Euro-Gijbels NV; Jolene Trans BV and Euro Gijbels SL, is active in the import, wholesale, 
cultivation, packaging and distribution of fresh fruit and vegetables.  
Both parties supply a wide range of fruit and vegetables mainly to supermarkets and wholesalers. In Belgium, the 
activities of Group Remy are mainly focused on Wallonia and those of Group Gijbels are mainly focused on Flanders. 
In its decision of 23 December 2024, the BMA finds that the conditions for applying the simplified procedure are 
met and that the notified concentration raises no objections.

The Belgian Competition Authority (BCA) is an independent administrative authority that contributes to the definition 
and implementation of competition policy in Belgium. Concretely, the BCA pursues anti-competitive practices, such 
as cartels and abuses of a dominant position, and reviews the main merger operations. The BCA cooperates with the 
other competition authorities of the member states of the European Union and the European Commission within the 
European Competition Network (ECN) 

Belgian Authority Greenlights Gijbels-Remy Merger

On December 23, 2024, the Belgian Competition Authority (BCA) announced its approval of the merger between Group Gijbels and Group Remy. This merger will result in the formation of a new holding company called Fresh Horizon NV.

 The merger was officially notified to the BCA on December 12, 2024, and the parties involved requested the application of a simplified procedure for the review. Group Remy, which includes JR Logistics and its subsidiaries, is engaged in the import, wholesale, packaging, and distribution of fresh fruit and vegetables. Meanwhile, Group Gijbels operates similarly in the same sector.

 Both groups primarily supply a diverse range of fruits and vegetables to supermarkets and wholesalers across Belgium. Notably, Group Remy focuses its operations in Wallonia, while Group Gijbels is more active in Flanders. The BCA concluded that the merger meets the criteria for the simplified procedure and raised no objections to the concentration.
