The Competition Bureau of Canada has confirmed that the pre-merger notification threshold will stay at $93 million for 2026. This decision was made by the Minister of Industry and is part of the annual review process mandated by the Competition Act.

Under the Competition Act, any merger involving a company with assets or revenues exceeding this threshold must be reported to the Bureau. Specifically, the company being acquired must have assets in Canada or revenues from sales that exceed $93 million, and the combined assets or revenues of the parties involved must exceed $400 million.

The Bureau's role is to assess these transactions to ensure they do not substantially lessen competition in the market. The Minister of Industry has the authority to review the threshold annually, with options to adjust it based on an indexing mechanism or to set a different amount through regulation.
