Beijer Ref Secures Approval for Acquisition of Refra

The Lithuanian competition authority has granted clearance for Beijer Ref, a leading Swedish wholesaler of refrigeration equipment, to acquire 90% of the shares in Refra, a Lithuanian manufacturer of industrial refrigeration and air-conditioning equipment.
The merger notification was submitted on September 14, 2026. After a thorough assessment, the Competition Council determined that the merger would not create or strengthen a dominant market position or significantly restrict competition in the relevant markets.
Beijer Ref operates in 45 countries and is listed on the Stockholm Stock Exchange. Its subsidiaries in Lithuania, including Beijer Ref Lithuania and Airwave Lietuva, distribute various refrigeration and air-conditioning products, as well as solar energy solutions.
Refra, located in Vievis, specializes in producing refrigeration units, heat pumps, and air-conditioning systems primarily for industrial and commercial applications, with a significant portion of its sales directed towards international markets.
The merger was subject to notification and clearance requirements, as the combined revenues of the involved companies exceeded EUR 20 million, with at least two of the companies having revenues over EUR 2 million in the year preceding the merger.
