On January 20, 2025, the Greek competition authority's plenary session approved the acquisition of exclusive control over HELECTOR S.A. by MANETIAL LTD, as per decision number 874/2025. This decision was made in accordance with Article 8, paragraph 6 of Law 3959/2011, following a notification submitted on August 2, 2024.
MANETIAL is a Cypriot holding company, fully owned by MOTOR OIL (HELLAS) S.A., which is the parent company of the MOH Group. MANETIAL is also the sole shareholder of THALIS ENVIRONMENTAL SERVICES S.A., a company primarily engaged in the construction and management of non-hazardous waste treatment facilities, and to a lesser extent, in the production and supply of electricity from waste.
HELECTOR and its subsidiaries are involved in the construction of waste management and recycling facilities, as well as providing related waste management services, including the operation of such facilities and the production of electricity from renewable energy sources.
The concentration pertains to the waste management sector, specifically the construction of non-hazardous waste treatment facilities. After considering the report from the relevant rapporteur, the case file, and discussions held on January 8, 2025, the competition authority concluded that the acquisition would not significantly impede competition in the relevant waste management markets.
In its assessment, the authority took into account market shares, the level of concentration, proximity of competition among industry players, the number of competitors, expected market growth, and supply volatility. Furthermore, it determined that there are no horizontally or vertically affected markets in the electricity sector.
With this decision, following a thorough investigation under Article 8, paragraph 6 of Law 3959/2011, the authority found that the acquisition, while falling under the scope of Article 6, paragraph 1 of Law 3959/2011, does not raise serious doubts regarding its compatibility with competition requirements in the relevant markets.
